NLI Capital has completed the acquisition of Holland ICT Groep (HIG), a leading Dutch IT Managed Services Provider (MSP), with financing support from Kartesia, a European specialist in capital solutions for small and mid-sized companies. The deal marks a strategic step in HIG’s growth trajectory, enabling the company to expand its national presence and enhance its service offerings.

HIG delivers comprehensive IT services including managed services, cybersecurity, cloud, and modern workplace solutions to around 1,300 small and medium-sized enterprise (SME) clients. Operating through six regional partner companies, the platform benefits from a stable and largely recurring revenue base. The company has demonstrated strong growth momentum, completing five acquisitions in recent years to consolidate its position in the fragmented Dutch MSP market.

While the financial terms of the transaction were not disclosed, Kartesia’s Senior Opportunities (KSO) strategy provided the capital framework supporting NLI Capital’s acquisition. This partnership aims to accelerate HIG’s buy-and-build strategy, deepen client relationships, and drive organizational growth.

HIG’s entrepreneur-led model leverages regional SME networks while benefiting from the scale and resources of the broader group. According to company representatives, the alignment of vision between NLI Capital and Kartesia creates a strong foundation for scaling operations and strengthening HIG’s national footprint.

The acquisition comes amid increasing consolidation in the IT managed services sector, driven by growing demand for integrated cybersecurity, cloud, and workplace solutions among SMEs. HIG’s expanded service portfolio positions it well to capitalize on these market trends, offering cross-selling opportunities and enhanced recurring revenue streams.

Operational synergies are expected through the standardization of service delivery, consolidation of back-office functions, and economies of scale in procurement and technology infrastructure. However, integration challenges include aligning multiple regional partners under a unified operational model while maintaining the entrepreneurial culture that differentiates HIG.

Market analysts note that this deal intensifies competitive pressure on smaller regional MSPs in the Netherlands, potentially accelerating further consolidation and innovation in the sector. Competitors may respond with their own partnerships or increased investment in cybersecurity and cloud capabilities.
