Wolters Kluwer Acquires Marosa to Expand European VAT Compliance

Wolters Kluwer acquires Marosa, expanding European VAT compliance and e-invoicing capabilities. Learn about the strategic deal and market impact.

Wolters Kluwer has acquired Marosa, a Vigo, Spain-based company specializing in VAT compliance and e-invoicing technology for enterprise and eCommerce clients across Europe. The deal was announced on August 17, 2026. After a two-year investment period by Aquiline Capital Partners’ Venture fund, which was Marosa’s first external investor.

Marosa offers a fully integrated VAT compliance platform, VATify, which centralizes e-invoicing, VAT registration, and reporting while automating communication with tax authorities. This technology helps businesses navigate increasingly complex European VAT regulations driven by initiatives such as VAT in the Digital Age (ViDA) and expanding real-time reporting mandates.

Aquiline began tracking Marosa in 2020, recognizing the growing compliance challenges for cross-border commerce in Europe and identifying Marosa as a market leader. Over two years, Aquiline supported Marosa in institutionalizing its go-to-market strategy, expanding its product suite across the tax value chain, and stabilizing its platform for further growth.

Following discussions facilitated by Aquiline in June 2025, Wolters Kluwer identified Marosa’s offering as highly complementary to its existing global tax compliance solutions, particularly enhancing its European VAT and e-invoicing capabilities. The acquisition adds to Wolters Kluwer’s strong position in US sales tax and VAT determination, positioning the combined entity to build a comprehensive global indirect tax platform.

Wolters Kluwer is a global leader in tax compliance and software solutions, serving a broad client base with a focus on integrating technology to meet evolving regulatory demands. Marosa, founded and led by CEO Pedro Pestana da Silva, grew from a bootstrapped startup to a profitable business serving global enterprises, with headquarters in Vigo, Spain.

Giovanni Nani, Head of European Venture at Aquiline, commented, “Working alongside Pedro and the Marosa team, we provided institutional support, network access, and go-to-market thinking to help accelerate Marosa’s growth. Wolters Kluwer’s acquisition validates our investment thesis and the quality of the business Pedro and his team have built.” Pedro Pestana da Silva added, “Aquiline’s support over the past two years proved instrumental in accelerating our growth and expanding our ambitions. We are proud of what we built together.”

The acquisition enables Wolters Kluwer to cross-sell Marosa’s VAT compliance and e-invoicing solutions to its global client base, expand its indirect tax platform into new European markets, and leverage shared technology infrastructure and R&D resources. Operational integration will focus on aligning product development roadmaps and institutionalizing Marosa’s go-to-market function while maintaining its entrepreneurial agility.

Industry experts note that this deal accelerates consolidation in the indirect tax software market, increasing competitive pressure on providers to offer integrated, technology-driven solutions. Wolters Kluwer’s expanded platform is expected to prompt rivals to pursue similar acquisitions or partnerships to broaden their geographic and product coverage.

Key challenges include managing technology and cultural integration, retaining key Marosa personnel, and navigating regulatory complexities across multiple jurisdictions. However, the combined entity is well-positioned to capitalize on regulatory shifts and growing demand for automated VAT compliance solutions.

Wolters Kluwer and Marosa plan to proceed with integration efforts and regulatory approvals as required, aiming to deliver enhanced value to clients through a comprehensive global indirect tax platform.
