Naviam has entered into a definitive agreement to acquire Cohesive, a prominent provider of IBM Maximo consulting, implementation, hosting, and support services. The acquisition is designed to solidify Naviam’s position as the largest independent IBM Maximo business partner worldwide.
As part of the transaction, Bentley Systems will make a strategic minority equity investment in Naviam and join its Board of Directors. Concurrently, Norwest, a global growth equity firm, will make a significant growth investment in the combined Naviam and Cohesive business. The deal is expected to close on September 30, 2026, subject to regulatory approvals and customary closing conditions.
Cohesive serves hundreds of asset owners globally, including major clients such as the UK’s Ministry of Defence and Con Edison, one of the largest investor-owned utilities in the United States. The integration of Cohesive’s professional services and customer base with Naviam’s existing operations will expand Naviam’s global footprint and service capabilities.
Naviam specializes in IBM Maximo services and solutions, offering cloud-based platforms, mobile applications, and a broad suite of Maximo-dedicated products. With over 35 years of experience, Naviam supports enterprise-scale Maximo environments and focuses on modernizing asset management for its clients.
Bentley Systems, founded in 1984, is a leading infrastructure software provider supporting engineering firms and owner-operators worldwide. Its Bentley Infrastructure Cloud platform is central to the strategic integration envisioned in this deal, combining with Naviam Cloud and IBM Maximo to enhance asset lifecycle management, including advanced geospatial data integration.

Cost synergies are expected through consolidation of support teams and streamlined cloud infrastructure operations. The integration aims to enhance customer experience with a unified service delivery model and improved geospatial data capabilities.
This acquisition comes amid accelerating consolidation in the IBM Maximo services sector, positioning Naviam as a more formidable competitor with expanded global reach, particularly in the UK and US markets. Competitors may respond with similar strategic moves to maintain market share.
Financial terms of the acquisition and Bentley’s equity investment were not disclosed. Naviam, Bentley Systems, and Norwest plan to collaborate closely to integrate operations and expand the combined product suite.
