Arcola-backed Healthcare Brands Group Acquires Orange-Sheep B.V., Expands Sustainable Care Portfolio

Healthcare Brands Group acquires Orange-Sheep B.V., adding Happy Earth and WaterWipes to expand sustainable personal care in the Netherlands.

Healthcare Brands Group, backed by Dutch private equity firm Arcola, has completed the acquisition of Orange-Sheep B.V., the company behind the sustainable personal care brand Happy Earth and the Dutch distributor of WaterWipes baby wipes. The deal, announced on July 10, 2026, marks a strategic expansion of Healthcare Brands Group’s footprint in the health and personal care sector, particularly within the sustainable consumer goods segment.

While the financial terms of the transaction were not disclosed, the acquisition involves a full 100% stake in Orange-Sheep B.V. This move is expected to increase the combined group’s annual revenue to an estimated €45 million to €50 million. The integration will focus on leveraging cross-selling opportunities and consolidating supply chain operations to optimize costs and enhance market penetration.

Healthcare Brands Group is a platform company specializing in health and personal care brands, with a portfolio that includes Golden Naturals, Lactona, Dermolin, Essential Organics, Synofit, and Mattisson. Orange-Sheep B.V. is recognized for its sustainable personal care brand Happy Earth, which has quickly gained consumer favor for its effective and accessible products designed with environmental and social responsibility in mind. Additionally, Orange-Sheep manages the Dutch distribution of WaterWipes, a leading international brand in baby wipes.

Looking ahead, Healthcare Brands Group plans to integrate Orange-Sheep’s operations carefully to maintain the authenticity and sustainability ethos of the acquired brands. The group aims to accelerate growth for Happy Earth by leveraging its distribution network and expand WaterWipes’ market penetration in the Netherlands. Regulatory approvals were not highlighted as a concern, suggesting a smooth integration process.
